AFFILIATE AGREEMENT
This Affiliate Program is operated by Becky’s Fitness Company, Inc.
Registered in the State of New York.
Definitions/Agreement
Becky’s Fitness Company, Inc. ("Becky’s Fitness Company" (or "we/us")) provides access to the Affiliate Program ("the Program") to the applicant ("Affiliate" or "you") subject to the terms and conditions ("the Agreement") set out below. Please read the Agreement carefully before joining the Program. Joining the Program shall constitute acceptance by you of all the terms set out below. Our affiliate program is offered 'as is' with no warranty or guarantee as to its performance, solely as a benefit for you to earn commissions on referrals to our site www.BeckysFitnessCompany.com.
1. Joining the Program
Submit a completed application electronically via our site. We are entitled to reject your application if we decide, for whatever reason, that your site is unsuitable for the Program. We may also reject your application if you are participating in any other Program or offer from Becky’s Fitness Company, Inc. Our decision on acceptance or rejection of your application shall be final and you will have no right of challenge.
2. Linking to Our Site
After your application to become an Affiliate has been accepted by us, you will receive an email confirmation to access your account dashboard at affiliate.Becky’s Fitness Company.com. You will use your account dashboard to retrieve the links, banners and any code that you may use to refer users to our site from your site, emails or other services provided by you. You may use the links and banners in any way you wish. The dashboard will be the only mechanism provided for you to track receive reports about the referrals you have provided and any commissions you have earned. You will not receive statements electronically or via the mail - it is your responsibility to use the dashboard to determine how your membership in the program is performing. You can provide one or more links from your site and services to ours. The proper use of the link formats will be your sole responsibility. We accept no responsibility for incorrect use of the links and link formats and we shall have no liability for any loss of fees which may arise from your improper use.
3. Commission
Subject to the terms and conditions of this Agreement, we will pay you;
a) a commission for each purchase from our MP3 Store by a Registered Customer (Online Training Programs are not included).
In this Agreement, references to a Registered Customer means only a Registered Customer that was referred by you from your site through any BeckysFItnessCompany.com provided link on your site obtained through this Program. The Registered Customer must be a different person or organization to yourself. Using this Program as a mechanism to obtain a discount on your own purchases on the site, or by referring yourself, is not allowed. No referral will be paid for referring yourself, and no commission will be paid for purchases made by yourself.
4. Commission Schedule
You will be entitled to:
- a commission equal to 30% of all net revenues generated through a sale to a customer that was referred to our site through one of your links.
- commission will be totaled and paid at the first of each month. Payments will be sent via PayPal or check within 30 days of the end of each calendar month.
- the total owed to you in the program must exceed $100 before a payout will be triggered. Anytime this threshold is not met, the balance will be carried over to the next month and continue to accrue until the threshold is met and a payment is generated.
5. Retentions
If any purchase is refunded, we may withhold any payments to you resulting from that Registered Customer purchases. If at any time the commissions owed to you become less than the total deductions due to refunds as mentioned above you shall on demand immediately pay to Becky’s Fitness Company the difference. If the details we hold for you as an Affiliate are not accurate, we may withhold payments to you. It is your responsibility to notify Becky’s Fitness Company of any change in your details, such as email or postal address or payment information. We also reserve the right to cancel fees and/or commission if we find evidence of fraudulent attempts via your link to use our service.
The Program relies on cookies to track customers. If the Registered Customer does not use cookies, or the cookie expires or is deleted, the Registered Customer cannot be tracked and you will not be entitled to any commission for any purchase that Registered Customer may make or have made.
6. Status of Registered Customers
All Registered Customers who purchase products or services from Becky’s Fitness Company, Inc. through the Program will be customers of Becky’s Fitness Company, Inc. and our standard Terms of Service as presented on our website shall apply. Our policies and operating procedures are subject to change at any time.
7. License
For so long as you are a registered Affiliate in this Program, you shall have non-exclusive, revocable license to use our logos and text, solely for the purpose of identifying your site as a Program participant and referring customers from your sites or services to our site. You may not transfer or sub-license the license and we may revoke the license at any time. You may not use our logos, artwork or links for any purpose other than those of this Affiliate Program - namely to refer customers to our site for registration or purchase.
8. Undertaking and Indemnity
You are solely responsible for all aspects of your site and for all content that appears on your site. You agree not to be involved in any activity that is prejudicial to the image or reputation of Becky’s Fitness Company, Inc. You acknowledge and agree that your website information, including name, URL, traffic counts, lists of member sites, etc may be utilized by Becky’s Fitness Company, Inc., and any customer referred by your system belongs as a customer with their private membership data solely to Becky’s Fitness Company, Inc. You have no rights to obtain personal or identifying information about the referrals your site or services provide to Becky’s Fitness Company, Inc. As an affiliate, you are receiving proprietary information from Becky’s Fitness Company, Inc. and you agree not to share this information with any 3rd party or competitors. You will indemnify us against all claims, damages, and expenses including, without limitation, legal fees) relating to the operation and content of your site and any materials or services provided by you. These obligations will continue following the termination of this Agreement. We shall be entitled to terminate this Agreement in the event of any breach of your obligations.
9. Term
This Agreement will start on acceptance of your application and shall continue until terminated by either party. Either party may terminate this Agreement at any time by giving to the other party written or emailed notice of termination. We may withhold your final payment to ensure that the correct amount is paid to you. Notwithstanding our general right to terminate, if after acceptance into our Program we decide that your site is not suitable for the Program, we may terminate this Agreement and you will cease to be an Affiliate.
10. Changes of Terms
We may change any of the terms contained in this Agreement by posting new terms on our site. Your continued participation following the posting notice of any changes in terms and your continued participation in the Program will constitute acceptance by you of such changes.
11. Limitation of Liability
Becky’s Fitness Company, Inc. is not liable in any circumstances for indirect, special or consequential damages which you may suffer in connection with this Agreement or the Program. In any event, our aggregate liability in respect of this Agreement and the Program will not exceed the total of referral fees paid or payable to you under this Agreement.
12. Disclaimers
No warranties or representations of any kind, express or implied, with respect to the Program or any products sold through the Program are given or made by Becky’s Fitness Company, Inc. In particular, but without limitation, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors or the failure to deliver any product or service. Our failure to enforce your performance of any provision of this Agreement will not preclude our right subsequently to enforce such provision or any other provision.
13. Independent Advice
You acknowledge that you have read this Agreement and have had the opportunity to take independent legal advice on its terms, only if you so desire. You understand that we may at any time accept customer referrals on terms that may differ from those contained in this Agreement or operate web sites that are similar to or compete with your web site. You confirm that, in accepting the terms of this Agreement, you do not rely on any representation, warranty or statement other than as expressly set out in this Agreement.
14. No assignment
You may not assign this Agreement, by operation of law or otherwise, without our prior written consent.
15. Governing law and jurisdiction
This Agreement shall be governed by, and construed in accordance with the laws of the State of New York. You and we irrevocably submit to the exclusive jurisdiction of the courts of the State of New York, save it is agreed that Becky’s Fitness Company, Inc. shall be entitled to enforce its rights in the courts of other jurisdictions.
16. Entire Agreement
This document defines the entire agreement between us and you and no other agreements regarding our affiliate program have been entered into, via written, oral or electronic means.
